INTELLECTUAL PROPERTY RIGHTS
My Websites contain original work, including images, photographs, branding, videos, audio files, program outlines, lesson plans, course material, text, and other content that are my intellectual property and protected under UK copyright law, specifically the Copyright, Designs. and Patents Act 1988. This prevents any unauthorised use of my content and materials.

My Limited License to You: 
My Websites, including all free and paid content, are provided solely for your personal, non-commercial, non-public use. All content and materials available on my Websites are protected by copyright and intellectual property laws. You are granted a personal, non-transferable, non-commercial, and non-exclusive license to access and view the materials on my Website solely for personal use. Any other use, such as reproducing, publishing, or distributing my content, requires my express written permission.

You must not use any of my materials for commercial purposes without prior written consent. Any violation of these terms may result in immediate termination of access to my Websites and the cancellation of any purchased services, without refund.

If you violate any part of these Terms, I reserve the right to immediately deny you access to my Websites, and online communities, including any programs you may have purchased, without a refund. You must immediately destroy any copies of my content you have made.  

If you believe, in good faith, that material hosted on my Websites infringes your copyright, you may send me a notice identifying the infringing material. Include a signed statement confirming that you are the copyright owner (or authorised to act on their behalf) and a request for the material be removed or for access to it to be blocked.

COMMUNITY GUIDELINES 
The online communities I host (whether via social media, webinars, Zoom chats, or otherwise) are intended to provide a forum for sharing information and discussion. By accessing, browsing, or participating in any of the communities associated with me and my Websites, you agree to comply with the following Community Guidelines.

You understand and agree that you are entirely responsible for all content that you post, upload, email, or otherwise share in my online communities (including but not limited to social media and webinar platforms). You understand and agree that your submitted content will be accessible to others and is not wholly private or confidential. 

You agree to use my online communities for lawful purposes only and you will not upload, post, email, or otherwise make available content that could harm me or another user including content that:

• Is false, fraudulent, defamatory, obscene, vulgar, abusive, hateful, libellous, harmful, or threatening. 

• Harasses, discriminates, or threatens on the basis of race, gender identity, ethnicity, religion, sexual preference, nationality, age, disability, or any other characteristic.

• Invades the privacy of others (e.g. by disclosing sensitive personal information such as email addresses, postal addresses, or phone numbers).  

• Include content or materials that violate any copyright, trademark rights, or intellectual property rights of any person or any third party.

• Promotes any commercial activities, including advertisements for goods or services, or constitutes 'spam'.

• Include false or misleading representations to impersonate or misrepresent any person or entity, or to disguise the true origin of any content.

While I am not obligated to monitor content or posts made in my online communities, I reserve the right, at my sole discretion, to monitor, manage, edit, refuse to post, or remove any content from these communities. I also reserve the right to deny you access to my Websites and online communities for any reason, without notice, explanation, or ramifications. 

You understand that content may be posted to my online communities by third parties, both affiliated and unaffiliated with me. I make no representation regarding the accuracy, validity, reliability, or timeliness of any information, content, opinions, advice, or statements made by these third parties. I am not held responsible, or liable, for any errors, omissions, or any loss, damage, harm, or perceived harm you may suffer from relying on any third-party content posted in my online communities. 
 
If you come across inappropriate content or material, you agree to notify me so I can review it. You understand and agree that I am not responsible for any comments, content, or material posted by a third party, and you agree not to take any action against me based on these posts.
You understand that I may be legally obligated to take action based on information you post, and I reserve the right to do so.

If a third party takes legal action against you based on something you post in my online communities, you agree to hold me harmless and fully indemnify me against any legal ramifications or actions.

PAID PRODUCTS AND SERVICES
If you purchase a course, product, program, or service (“Products”) from me, I grant you a limited, personal, non-exclusive, non-transferable license to use the Products and any associated material for your own personal, educational, and informational use. You understand and agree that you do not have the right to edit, copy, modify, reproduce, create derivative works from, sell, distribute, or exploit any of my Products or associated materials. 

You agree not to offer any competing resources or Products based on any information contained in my Products. 

Third-Party Information:
Some of my paid Products may contain information provided by third parties. You understand and agree that I am not responsible for the accuracy, timeliness, reliability, validity, or any other quality assurance measures of their information. I am not to be held responsible or liable for any loss, damage, or other issues arising from your voluntary decision to access or use any third-party information provided in my paid Products. 

Your Responsibility:
You understand and agree that your decision to purchase Products from me is voluntary, and you solely financially responsible for any and all purchases that you or someone acting on your behalf makes through my Websites. When making a purchase on someone's behalf, you represent that you have obtained express consent from that person to use their personal information.  

Payment Processing:
You understand and agree that your name, address, credit card information, payment method, and other personally identifiable information may be collected by me or my third-party payment processor (“Payment Processor”), such as Paypal. You consent to my Payment Processor authorising your credit card, bank account, or other approved payment facility for the full payment of fees, along with any applicable foreign transaction fees, charges, or taxes. I do not store or have access to your full credit card numbers or payment information. 

You agree to provide true, accurate, current, and complete billing and credit card information. You are responsible for promptly updating all billing information (including your billing address and credit card details) to keep your account current, complete, and active. If your payment fails to process, I reserve the right to withhold the purchased Products from you until payment is properly secured. You hereby agree to pay all amounts due upon demand. You also agree to cover all costs of collection, including legal fees and other expenses, for any outstanding balance.

When making a purchase from my Websites using a Payment Processor, you indemnify me and assume all risks and liability regarding the security of your payment details. You also agree to be bound by the Payment Processor’s Terms and Conditions of use and understand that it is your responsibility to review these Terms and Conditions before making a payment.

REFUND AND CANCELLATION POLICY

I am committed to providing high-quality products and services. Please read my refund policy carefully to understand your rights and responsibilities.

Refunds for Digital Products / Services:
Due to the nature of digital products and services, all sales are final once the product or service has been accessed or downloaded. By making a purchase, you acknowledge that you have read the full product description and understand what is being offered.

If you experience technical issues or difficulty accessing a digital product, please contact me at sam@thriving-woman.com, and I will do my best to assist you.

Refunds for Third-Party Platform Purchases:

If you purchase any of my products (such as books or artwork) through a third-party platform like Amazon, Etsy, or similar, all refund and return requests must be handled directly through that platform in accordance with their policies. I am not responsible for processing refunds or returns for purchases made via third-party platforms.

Cancellation Policy for Mentoring Packages & Services:

By enrolling in a mentorship package, you are committing to the full duration of the program. If you choose to cancel before completing the program, the following applies:

1. Cancellations within the first 14 days may be eligible for a partial refund, minus any completed sessions and an administrative fee.

2. After 14 days, no refunds will be issued. However, at my discretion, I may offer a credit towards future services.

3. If you need to pause your program due to unforeseen circumstances, you may request to resume at a later date (subject to availability).

Rescheduling & Missed Sessions:
If you need to reschedule a mentoring session, please provide at least 48 hours notice to avoid penalties. Rescheduling requests made within 48 hours of the session may be subject to a rescheduling fee or forfeiture of the session. If you fail to attend a scheduled session without prior notice, the session will be considered forfeited and no refund will be issued.

My Right to Cancel:
In rare cases, I may need to cancel or reschedule a session due to unforeseen circumstances. If this happens, I will notify you as soon as possible and offer either a rescheduled session at a mutually convenient time or a full refund for that session.

Additionally, I am committed to providing the highest level of service. However, if at any point I determine that our work together is not a good fit or is not progressing effectively, I reserve the right to terminate the mentoring relationship. If this occurs, the following terms apply:

1. A pro-rata refund may be issued for unused sessions, minus any administrative fees.

2. Alternatively, a credit may be applied toward other services at my discretion.

3. No refund will be given for completed sessions.

FORCE MAJEURE:
In the event of any delay or failure to perform resulting from causes beyond my reasonable control, including but not limited to acts of God, pandemics, natural disasters, fires, floods, political instability, strikes, or other circumstances beyond my control, I will not be held liable for such delay or failure. If such events cause significant disruption, I may suspend, delay, or terminate the services temporarily or permanently. You agree that under such circumstances, you will not make any claims against me or seek damages for non-performance.

DISCLAIMER
The purpose of my Websites, online communities, Products, and any downloadable resources (herein referred to as my "Websites and Services") is solely for educational and informational purposes. While I have done my best to ensure the accuracy and value of the information provided through these platforms, I cannot guarantee its value or accuracy.  

No Guarantees As To Results:
By using my Websites and Services, you understand and agree that I do not guarantee any type of specific, typical, or guaranteed results, changes, or gains from following any advice or actions recommended on or through my Websites or any third-party websites. If you have any disputes or claims regarding these Terms, my Products, or Websites, you agree to give me an opportunity to resolve them. If we cannot negotiate a satisfactory resolution, either party may elect to resolve the dispute through Binding Arbitration. You hereby expressly agree that under no circumstances, now or in the future, will I be liable to any party for any type of damages or claims that result, or are perceived to result, from your use of my Websites, and any and all of my Products, and any and all contracts that you enter into with me. You hereby expressly agree to resolve any claim or controversy that arises by Arbitration and/ or suitable Alternative Dispute Resolution in England, United Kingdom, regardless of your location. You agree to be bound by the decision of the chosen mediator and to participate in good faith in any exchanges relevant to the mediation process. You further agree that you and/ or any entity related to you can only bring claims against me or resolve disputes with me on an individual basis, and not as a plaintiff or class member. You hereby waive any right to any class arbitration or to use class action procedures. To the full extent permissible by law, you further agree that you will be responsible for all costs associated with initiating the arbitration and for the administration costs of the arbitration.

INDEMNIFICATION:
You agree, at all times, to defend, fully indemnify, and hold harmless me, my Company, any team members, or associated third parties from and against any losses, liabilities, costs, damages, actions, claims, causes, or expenses (including and without limitation legal and accounting fees) incurred as a result of:  i) your use of my Websites and Services ii) your breach of any obligations, Terms, relevant laws, rules, or regulations, including misuse of my intellectual property iii) your violation of any third-party rights. If I am required to defend myself against any action involving you, or where your help will assist my defense, you agree to cooperate with any reasonable requests, free of charge. 

ENTIRE AGREEMENT
Unless otherwise specified, these Terms and Conditions, along with the Privacy Policy, constitute the entire agreement between us regarding your use of my Websites and Services. This supersedes any previous agreements or understandings entered into with me, by you, and any prior or current communications (be they written, verbal, or electronic). Nothing on my Websites, or in any communications, is to be understood as a waiver to any portion of these Terms and Conditions.
